E-Commerce

Over the past decade, many of our clients have incorporated e-commerce into day-to-day business activities and are actively doing business on the Web.  The legal issues unique to the Internet business environment include new “spins” on diverse areas such as creating enforceable contracts on-line, advertising on the Web, selling goods and services, interstate and international taxation, human resource policies, intellectual property and other liability concerns.

The firm has been involved in high tech legal issues for many years. Specifically, we have helped clients in technology matters such as the development, licensing, acquisition, financing and protection of hardware, software, trade secrets and other intellectual property.

Internet and e-commerce related issues and disputes are increasing rapidly and our goal is to better provide clients with the information they need to conduct e-business transactions efficiently, safely and profitably in this arena.

We continue to counsel high technology companies in the planning, formation, organization and recurring stewardship of entities and have significant experience counseling clients with rapidly changing business strategies to raise capital through IPOs, private placements, venture capital and more traditional financing options as well as with mergers, acquisitions and dispositions.  We advise on all aspects of e-commerce, including cybersquatting, metatag piracy and invasion of privacy.  In addition, our bi-weekly publication - E-Commerce News - keeps our clients up to the minute!

Some specific examples of work include:

  • Assisted numerous clients in establishing human resources policies related to doing business on the Web, access to Web information and Internet e-mail.
  • Counseled clients on legal issues unique to Internet business such as making contracts enforceable on-line, advertising on the Web, selling goods and services on the Web, interstate and international taxation, intellectual property and other liability concerns.
