Business Taxation

Clients benefit from our tax attorneys' broad range of experience in all areas of federal, state and local taxation. Working closely with attorneys in the firm's other practice groups to maximize the tax benefits for our clients, we advise clients ranging from individuals to start up businesses to publicly traded corporations.

GH&R has an active and sophisticated federal tax practice.  In conjunction with our substantial mergers and acquisition experience, our tax lawyers have been an integral part of planning and structuring many tax-free reorganizations and exchanges and providing the related tax opinions.  We are also very experienced in analyzing, advising and preparing supplemental executive retirement plans, deferred compensation plans, stock option plans and other forms of executive compensation.

In addition, our tax lawyers have unusually deep experience in like-kind exchanges.  Not only have we structured and completed numerous like-kind exchanges in real estate transactions, we have utilized this favorable tax technique in multi-asset business transactions.  In particular, we have successfully completed numerous like-kind exchanges of radio stations for one of the largest radio broadcasting companies in the United States.

We also routinely advise clients on the tax consequences of various business transactions, including but not limited to real estate development, joint ventures and tax planning in the overall business structure of an organization, with significant experience working through tax issues for S corporations, partnerships and limited liability companies.  Additionally, we frequently work with the firm's tax exempt organization clients, assisting in structuring the organization to qualify for exempt status, and advising regarding joint venture and compensation arrangements.

Our firm has a broad and diverse tax practice in structuring business transactions.  A number of our tax attorneys are frequent speakers at various tax seminars, including the well-attended Southwest Ohio Tax Conference annually hosted by the Cincinnati Bar Association, and one of our tax partners is an adjunct tax professor at the University of Cincinnati College of Law.
