Buying and Selling Your Business

We have represented many of our clients, large and small, public and private, in a myriad of M&A transactions with purchasing prices ranging from less than $1 million up to $5 billion.  These transactions have been structured in many different ways including: purchases of assets or stock, forward and reverse mergers, use of ESOPs, private tender offers and acquisitions of assets in bankruptcy proceedings, to name a few.  The consideration for these transactions has involved cash, stock, warrants, notes, earn-outs and other creative mechanisms designed to create value for the parties engaged in the transactions.  Over the past several years, we have represented our clients in over 200 M&A transactions involving total enterprise values in excess of $15 billion. In addition, we have:

  • Acted as lead counsel for more than 50 client acquisitions totaling more than $2.6 billion in a recent two-year period.
  • Completed the acquisition of more than 200 radio stations for one of the nation’s largest communications companies.
  • Represented a software company in its acquisition of a major competitor three times its size, while also closing the funding of the transaction from five venture capitalists and a traditional bank.

Our active M&A team has extensive experience in structuring, negotiating and completing transactions.  They are further supported by various other practices within our firm, such as real estate, financing, tax, environmental, labor and employment and employee benefits, whose members likewise have specific expertise in evaluating and assisting on transaction issues in those specialty areas.
